These Terms of Service (the “Terms”) govern your use of the Mixy app (“the Service”), which is operated by Mixy, LLC. (“we,” “us,” or “our”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you may not use the Service.

1. Description of the Service

Mixy is a music mashup and creator application that allows users to upload, mix, edit, and share music samples (“User Content”). The Service is provided solely for personal, non-commercial entertainment purposes. Nothing in these Terms grants you any license to distribute, sell, or otherwise profit from content created or shared through Mixy.

2. Eligibility

Legal Age: You must be at least the age of majority in your jurisdiction to use the Service. If you are using the Service on behalf of an entity, you represent that you have the authority to bind that entity to these Terms.
Compliance with Laws: You agree to comply with all applicable local, state, national, and international laws, including but not limited to copyright and intellectual property laws, when using the Service.

3. Intellectual Property and User Content

Your Content: You retain any intellectual property rights you hold in your User Content. By uploading or creating User Content through Mixy, you grant us a worldwide, non-exclusive, royalty-free license to store, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service.
Third-Party Materials: You represent and warrant that you have all necessary rights, licenses, or permissions to upload and use any third-party materials in your User Content. This includes music samples, audio clips, and any other copyrighted materials.
No Commercial Use: You agree that any content you create or share through Mixy is for personal entertainment purposes only. You may not use the Service for commercial gain, including but not limited to selling mashups, licensing music, or monetizing any derivative works created using the Service.

4. Prohibited Uses

You agree not to:

Use the Service to infringe upon or violate the intellectual property rights of others.
Distribute, transmit, or publicly perform any content without obtaining appropriate rights or permissions.
Copy, modify, or distribute content from the Service (including other users’ content) for any unauthorized purpose.
Engage in any activity that disrupts or interferes with the Service’s functionality, servers, or networks.
Engage in any activity that violates any applicable law, including copyright and intellectual property laws.

5. Disclaimers

Entertainment Purposes Only: Mixy is provided for personal, non-commercial entertainment. We do not guarantee that any content created on or through Mixy is free of third-party claims or that it will not infringe any third party’s intellectual property rights.
No Profit Distribution: Mixy does not permit the sale, licensing, or other commercial exploitation of any User Content. The Service is intended solely for your personal use and enjoyment.
User Responsibility: You are solely responsible for your use of the Service, including all User Content you create or upload, and any legal consequences that may arise. We assume no liability for any damages resulting from your use of the Service or your infringement of any third-party rights.

6. DMCA/Copyright Infringement Policy

If you believe that your work has been copied or used in a way that constitutes copyright infringement, please send a notice to us at hello@usemixy.com with the following information:

A physical or electronic signature of the person authorized to act on behalf of the copyright owner.
An identification of the copyrighted work claimed to have been infringed.
A description of the material that is claimed to be infringing and where it is located on the Service.
Your contact information (address, telephone number, and email address).
A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.
A statement that the information in your notice is accurate and that you are authorized to act on behalf of the owner of the copyright
